Background

There has been an idea going around that the Board of Directors can create board voted policy if it meets certain qualifications.

Under the section: bylaws#Issues Proper for a Vote of the Directors

There is a specific line:

    to fulfill any obligations to ensure the health of the organization.
  • The word "obligations" and the phrase "health of the organization" can be interpreted in a lot of ways.
  • There are a lot of ways a policy can be written that fulfill obligations, and the membership should be guaranteed, a hand in that process, as we are with member votes
  • A policy produced by a minority of the membership without feedback from the general membership can not hope to attain the the same rigor in quality standards that a membership vote has.
  • A policy created may not be tied to the reason it was created, and may not self invalidate if that reason changes. e.g. A contractual agreement expires.

Misconceptions

  • This proposal does not grant the ability to vote to break the law. See Bylaws#Issues Proper for a Vote of the Membership.
  • If the space has made contractual obligations in the past, those contractual obligations continue to hold, and additional policy is optional.
