:: According to the meeting notes, 41 members were present for the votes that night, including proxies. That would mean quorum was met. :::According to the Bylaws, due to a quirk (that the MWE lawyers are supposed to help fix), votes of Abstain effectively count against a proposal. If 41 were present, there must be >= 21 Yes votes or it doesn't pass.
