The Bylaws currently state that:

The board may decide on issues related to:
* spending money from the general fund necessary to keep the organization's property in good working order and functioning in fulfillment of the organization's mission,
* spending money from the general fund on infrastructure improvements costing less than $300,
* spending money from the general fund to obtain advice and services for the management of the organization or the fulfillment of the organization's mission,
* spending money from any funds donated for a specified purpose, and
* to fulfill any obligations to ensure the health of the organization.
In the case of these three policies, the Board decided to enact them to fulfill contractual and legal obligations to ensure the health of the organization. I can understand that someone might think the Board should not have done what they did. I can understand that someone may think the Bylaws should be changed so that the Board no longer has the power to do what it did. But the Bylaws as they exist today do allow for the actions in question. The policies themselves are valid.
