Background

The membership agreement's conflict resolution policy is brain dead in how it forces all board members to be involved in all disputes, even if they have a personal stake in the matter.

Language

In the membership agreement, replace the following sentence: "The recommended consequence shall be put into effect if approved by unanimous vote of the Board of Directors plus one member."

With this: "The recommended consequence shall be put into effect if approved by unanimous vote of the Board of Directors plus one member. Board members may recuse themselves from the vote at their discretion, and must recuse themselves if they are involved in the situation. The remaining board shall select another member to fill the recused director's role. Former board members are strongly preferred for that role, but not strictly required."
