Background
Current bylaws suggest that if a member of the board of directors is elected as a replacement for a board member that resigns, the abbreviated term while serving as a replacement board member counts as a full term for the purposes of calculating term limits. This can lead to somebody reaching the term limit of three terms in less than three calendar years.
This vote would ensure that the term while serving as a replacement does not count against term limits.
Language
This vote proposes to add to the bylaws the following text in the section on Resignations
Replace "The replacement officer's term shall last until new officers are elected at the next Annual Meeting"
with
"The replacement officer's term shall last until new officers are elected at the next Annual Meeting. This replacement term shall not count against the replacement officer for the purposes of calculating term limits."
