History
Note: Illinois state law requires 20 days notice of a vote to remove a director.
- Officially Proposed: 7/23/2015
- To be Voted on: 8/18/2015
Background
Jenny Tong has shown great disrespect to other members of the board by ignoring deadlines set up during the board's last meeting. She took it upon herself to reach out to the vendor for the space who had been set to meet with the Treasurer without consulting the Treasurer. This undermined both the position of the board with regard to the deadlines for updates set at the previous board meeting, and the relationship of the Treasurer with the vendor. This is unprofessional and should not be tolerated behaviour for a member of the board of directors.
This vote requires a 2/3rds majority to pass as defined by 805 ILCS 105/108.35 and there is no quorum requirement for it .- http://www.ilga.gov/legislation/ilcs/ilcs4.asp?DocName=080501050HArt%2E+8&ActID=2280&ChapterID=65&SeqStart=6800000&SeqEnd=8700000
Note: the above citation of state law must be examined in context of the rest of the statute. Where state law contradicts our Bylaws, then state law takes precedence. But we must first determine the exact nature of the conflict. This is something the Board will need to examine. Once we have a determination of any change to customary voting procedure, we will email all full members. --Rdpierce (talk) 22:55, 3 August 2015 (CDT)
Note: It appears Tom is correct about this vote requiring a 2/3 majority to pass. But state law appears confusing regarding handling of quorum and present votes. To ensure that this vote is conducted lawfully, PS:One has engaged outside legal counsel to provide an opinion of how the vote should be conducted. --Rdpierce (talk) 09:40, 7 August 2015 (CDT)
