On one hand, I strongly support Tom's right to call this vote, and I am working to see that it happens according to proper procedures as mandated by our Bylaws and state law. But on the other hand, I have personally lost all respect for Tom that I previously held. Serving as a Board member and observing the public and private interactions, the idea that what Jenny did was somehow "impeachable" is appalling. Tom could have availed himself of other channels to resolve his dispute with Jenny, but he did not. Instead he took the least responsible and least mature approach - he ragequit and proposed this impeachment vote. There has been absolutely zero public support expressed for Tom's position, and a lot of public opposition; based on this, I think it fair to predict that the vote will be overwhelmingly in Jenny's favor, vindicating her and making Tom look like a petulant child. And as Doorman Dave noted, our Bylaws are deficient in how to conduct this vote, so the Board needed to engage outside counsel to determine the proper procedures. This is a waste of the Board's time and resources.
